Engro Corp decides to venture into telecom infrastructure

Pakistan’s largest industrial conglomerate has announced a PKR 7.5 Billion investment in telecommunications infrastructure sector, initiation of a detailed feasibility study to set up a polypropylene facility and received the Board of Director’s approval to go ahead with the PKR 1.76 billion acquisition of Engro Eximp FZE, which had been part of the rice processing industry since 2010, on 26th April 2019 in Karachi.

Engro Corporation announced its financial results for the first quarter ended March 31st, 2019, at a meeting held on 25th April at the Engro Leadership Academy. Engro corporations’ decision comes at a time when the Telecom sector has been squeezed with the acquisition of Warid by Jazz, consolidating the conventional telecom industry into four major players: Jazz, Ufone, Telenor, and Zong. The growth rate of Pakistan’s telecommunication sector has been impressive and encouraged the growth of the digital economy by bringing in Mobile Broadband services 3G, 4G, LTE, to the country and contributed over $ 4.42 billion to National exchequer from period recorded July 2014 to June 2017.

According to a statistical report July 2018 by Pakistan Telecommunication Authority (PTA), the number of 3G/4G subscribers in the country has crossed 57 million, while the number of active cellphone users had grown up to 151 Million by July 2018.

Showcasing a stellar quarter, total revenue grew by 21% in comparison to the prior period, driven by higher Urea sales in the Fertilizer business. The Company posted a consolidated profit-after-tax (PAT) of PKR 6,565 million compared to PKR 6,837 million for the prior period. PAT attributable to the owners was recorded at PKR 4,010 million compared to PKR 4,194 million for the similar period last year – higher PAT in the prior period was primarily on account of a one-off gain.

On a standalone basis, the Company posted a profit after tax (PAT) of PKR 3,832 million in a year on year comparison with last year, where it was PKR 3,146 million, translating into an EPS (Earnings Per Share) of PKR 7.32 per share. The Company announced an interim cash dividend of PKR 7.00 per share for the first quarter.

In order to develop potential business opportunities in the telecommunications infrastructure vertical, the Company had earlier set up Enfrashare (Private) Limited. Enfrashare will accelerate development of the country’s connectivity infrastructure, thereby providing an opportunity for people to be part of the new digital era. As an initial investment, Enfrashare will engage in the acquisition & construction of shared telecom towers, provision of various telecommunication infrastructure & related services, including state of the art network monitoring solutions. To enable this, the Directors have approved an investment of PKR 7.5 billion into this.

Furthermore, to continue building on Engro’s experience in the Petrochemical sector and keeping with its strategic ambitions that the Company will seek investment opportunities in this also, the Board of Directors approved the commencement of a feasibility study of a polypropylene facility based on a propane dehydrogenation plant. This will also enable the Company to initiate discussions with potential partners and/or stakeholders for developing this project. Investment in the Petrochemical sector will create opportunities for both substituting the imports & enhancing the export potential, thus help in building foreign currency reserves of the country.

Simultaneously with a view to expand its footprint outside Pakistan and to explore potential trading opportunities, the Board has also approved  the acquisition of  100% shares of Engro Eximp FZE, a wholly owned subsidiary of Engro Fertilizers Limited, for PKR1.76 Billion (subject to adjustments at the date of closing of the transaction and corporate approvals)
